Fairness Opinion
A Fairness opinion is a company's fair market value estimate done on the basis of objective facts and independent argumentation. Being independent means that the appraiser has no buy-side or sell-side interests and can conduct a well-argued analysis based on multiple sources of information. Valmetrics sources of information include corporate financial reports, management action plans, peer group benchmarking and if necessary third-party industrial expertise. Although Information provided by management and shareholders is taken into account, all forecast assumptions are doubled checked and challenged. Therefore, Valmetrics assumptions can greatly differ from management assumptions. Before publication, each fairness opinion is reviewed by a supervisor who controls the technical consistency of the report. Valuation Review
A valuation review is a thorough assessment of valuation assumptions, modelisation and interpretation of a valuation done by someone else. Valmetrics can conduct a business valuation review whatever the methodologies used: trading multiples, transaction multiples, DCF to equity - to the firm, real option, balance sheet market value adjustments, etc.. Sensitivity analysis on assumptions or methodologies can be done to measure potential valuation spreads. The valuation itself is objectively analysed but under no circumstances criticised or depreciated. Valmetrics respects the work done by other parties and suggests possible improvements to make it clearer and more robust. Valmetrics writes an independent report which includes its comments and suggestions without giving any valuation opinion (refer to fairness opinion above). Financial Audit
A Financial Audit is recommended if the company to value is not subject to any legal audit obligation and there are doubts on accounting integrity. Valmetrics and its partners can perform a financial audit on historical data: Profit & Loss, Balance Sheets and cash flow statements and check key financial items. These options are available for companies located in Switzerland or in a neighbouring country (France, Italy, and Germany).
Industry expertise
For specific industries (eg. biotech), additional technological or industrial expertise may be necessary to strengthen the valuation. Valmetrics orders a market research report specifically related to the industry/technology - however if such a report does not exist – we will hire a consultant with the right industry expertise. This option is available to all customers without any geographical restrictions.
Extended Reporting
Valuation reports are usually sent to company managers and shareholders. However, these reports can also be of interest for external third-parties like investors, auditors, banks, consultants, etc... Each of these players may ask to have access to these reports at different periods of time. To manage these requests, Valmetrics offers companies electronic storage of their valuation reports and provides secure and collaborative access to third-parties with dedicated rights to view, edit, download, print etc. This option is a great way to distribute valuation reports in a professional and independent manner.
Translation Service

The default Valmetrics languages are English and French. For all other languages, we may apply an additional fee to translate all key information into English and optionally to translate Valmetrics reports into a local language.
Valuations can rapidly change through time. News (both good and bad) can impact a business plan and the results of a valuation. Valmetrics offers a valuation service update to help you monitor valuation on a regular basis, comply with continuous reporting or simply manage the best buy-or-sell timing. There are 3 types of update: yearly, half-yearly and quarterly. For each update, Valmetrics checks new information received since the previous valuation and the update. New information is processed and the valuation updated.
